On June 11th LTRY announced the signing of an amended Stock Purchase Agreement for its planned acquisition of Nook Holdings Limited, a pioneering sports, health and wellness incubator based in Dubai, United Arab Emirates.
The acquisition, valued at approximately $2.5 million USD, is an all-cash deal, underscoring the LTRY strategic commitment to global growth and innovation in sports and wellness. Upon completion, LTRY will control ninety percent (90%) of Nook. The deal is expected to close on or before June 30, 2025.

On June 3rd LTRY announced it has commenced an investigation into potential short selling activities in its stock. The Company has engaged legal counsel from Paul Hastings LLP to conduct the investigation.
LTRY believes that there may have been dissemination of false information relating to the Company with the objective of driving down its stock price and damaging its business. LTRY also believes that it may have been the victim of illegal naked short selling in its stock.
